Delaware C-Corp formation (recommended for outside capital and eventual acquisition). EIN obtained. Operating agreement, founder split, and IP assignment documented. The FDA Pharmacy Compounding Advisory Committee meets July 23–24, 2026 specifically to review BPC-157, KPV, TB-500, and MOTS-C for the 503A bulks list. HHS Secretary RFK Jr. has publicly signalled that approximately 14 of the 19 restricted peptides are expected to move from Category 2 back to Category 1. If even half of that reclassification lands, the legal compounding market multiplies overnight. Most peptide businesses fail because they conflate categories or cut corners on compliance. The guardrails below are not constraints — they are what allows the business to scale without a warning letter or DOJ seizure shutting everything down at month 18.
Lane A — PermittedFDA-approved or 503A-compoundable peptides (GLP-1s, TRT, HRT) supplied exclusively to licensed clinics with medical directors and established physician-patient relationships. We do not ship these direct to consumers. The clinic prescribes; the pharmacy compounds; we supply the clinical layer.
Lane B — PermittedResearch-use-only peptides sold as research chemicals, labeled "Research Use Only — Not for Human Consumption," with full Certificates of Analysis on every batch. Buyers are research labs, biotech firms, academic institutions, and the broader research community. We never make therapeutic claims, never market for human use, never name a body system or condition anywhere in copy.
What We Will Not DoWe will not market research-use-only peptides to consumers for human use. We will not make therapeutic, weight-loss, performance, or anti-aging claims on any research SKU. We will not ship compounded GLP-1s direct to consumers. We will not source from manufacturers without verified GMP / ISO / HPLC + MS testing and current COAs. No needles sold. No bacteriostatic water sold. Research compound only.
Research Analyst
Programme
Every buyer is onboarded as a "Research Analyst" — not as a retail customer. Three legal documents signed at onboarding, renewed every quarter, covering permitted use, prohibited language, and consequences for violation. Violators are locked out immediately; their recurring income is forfeited. This creates multiple contractual layers between the business and the FDA.
Platform ChoicesShopify is acceptable for Lane B if the payment stack and product descriptions are configured correctly — but we plan the high-risk merchant processor from day one rather than getting Stripe shut down at month 4. Payments for Lane B: crypto / Bitcoin option offered in addition to high-risk processor. No therapeutic claims anywhere in the checkout flow.

The $7,500 WeLaunch contributes every month is real capital. The revenue share means we make serious money only if the business generates serious revenue. This is a long-term partnership, not a vendor relationship.

Lane A & C
10% net revenue share to WeLaunch AI on Lane A (B2B clinical) and Lane C (white-label) revenue, calculated for 24 months from each customer's first order, paid monthly. Net revenue = gross revenue minus refunds, processing fees, and direct COGS.

Lane B
15% net revenue share to WeLaunch AI on Lane B (research B2B + B2C e-commerce) revenue, calculated for 24 months from each customer's first order, paid monthly.
Equity OptionAlternative to revenue share: 12% common equity in the operating entity in lieu of revenue share, reflecting the full operational lift of building the company end-to-end. Open to discussion and structuring.

Term & Exit90-day engagement. Either party may elect not to renew at Day 90 with 30 days' written notice. Mike retains all IP produced: brand, sequences, websites, legal templates, and all built assets. WeLaunch retains rights to its underlying platform and methodology.

The AI agents know exactly what to say and what never to say. A human sales rep can be trapped into a prohibited claim in a live conversation. Existing IP & AssetsAny existing brand assets, trademarks, or domain names already in flight. The 5,000 magnetic boxes already ordered. Label design and barcode configuration. Packaging photography if available.
Entity PreferenceConfirmation on entity structure — Delaware C-Corp is recommended. If Mike already has a legal entity he wants to use, details for review by outside counsel.
Counter-SignatureCounter-signature on this Scope of Work or a redline with proposed changes. Once signed, WeLaunch files the entity, acquires domains, and starts the clock on day one.
09Agreement & Signatures

By signing below, both parties agree to the scope, commercial terms, and obligations set out in this Scope of Work. This document constitutes the binding agreement for the 90-day engagement between WeLaunch AI and Mike Rose's peptide entity.

The peptide market is going to look very different in 90 days than it does today. The brands that own the channel by Q4 2026 will own the next decade of this category. WeLaunch is ready to build that brand with Mike.

Payment Terms$7,500 from each party invoiced at the start of each month. Payment due within 7 days of invoice. First invoice issued upon signed SOW receipt.
ConfidentialityBoth parties agree to keep all engagement details, pricing, strategy, and client information strictly confidential. This includes WeLaunch's methodology, tooling, outreach infrastructure, and Mike's supply chain, manufacturer relationships, and customer data.
IP OwnershipAll materials produced — brand identity, legal templates, websites, outreach sequences, content, and reporting templates — are owned by Mike's entity upon full payment. WeLaunch retains rights to its underlying platform and methodology.
Governing LawThis agreement is governed by the laws of the State of New York, USA. Disputes to be resolved by mutual negotiation before any formal proceedings.
